1. Introduction

Welcome to Micati, a peer-to-peer fiat marketplace operated by DevBlock Technologies Ltd ("Micati," "we," "us," or "our"). By accessing or using the Micati platform, website, or related services (collectively, the "Platform"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Micati. We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

2. Eligibility

To use the Platform, you represent and warrant that:

  • — You are at least 18 years of age or the legal age of majority in your jurisdiction.
  • — You have the legal capacity to enter into binding contracts.
  • — You are not located in or a resident of any jurisdiction where use of the Platform is prohibited by law.
  • — You have completed all required KYC (Know Your Customer) verification to the satisfaction of Micati.
  • — You have not previously been suspended or banned from the Platform.

3. User Obligations

As a user of the Platform, you agree to:

  • — Provide accurate, current, and complete information during registration and KYC processes.
  • — Maintain the confidentiality of your account credentials and accept responsibility for all activities under your account.
  • — Use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.
  • — Not engage in fraudulent, deceptive, or manipulative trading practices.
  • — Not attempt to circumvent escrow, dispute resolution, or any security measures.
  • — Complete trades in good faith and release escrow funds promptly upon receiving fiat payment.
  • — Report any suspicious activity or security breaches to Micati immediately.

Failure to meet these obligations may result in account suspension, forfeiture of funds in dispute, or permanent bans at our sole discretion.

4. Fees

Micati charges trading fees as outlined on our Pricing page. Fees are calculated based on the trade volume and are deducted at settlement. We reserve the right to modify fee schedules with 14 days' notice posted on the Platform.

Referral bonuses are credited according to the referral program terms in effect at the time of referral. Micati may withhold or reverse referral bonuses in cases of fraudulent or abusive referral activity.

5. Escrow & Settlement

All trades on the Micati Platform use an escrow system. When a trade is initiated, the seller's crypto assets are transferred to a secure escrow wallet controlled by Micati. The escrowed funds are released only when both the buyer and seller confirm satisfaction, or as determined by our dispute resolution process.

Micati acts as an escrow agent and does not take ownership of any funds held in escrow. We are not a counterparty to any trade and make no guarantees regarding the behaviour of any user.

In the event of a dispute, escrowed funds will be held until a resolution is reached. Micati's decision in dispute resolution is final and binding, subject only to the appeal process described in Section 6.

6. Dispute Resolution

If a dispute arises between trading parties, either party may open a dispute through the Platform. Micati's admin team will review all submitted evidence and render a decision. The decision will be based on the preponderance of evidence provided.

The dispute resolution process:

  1. Either party opens a dispute via the trade page.
  2. Both parties submit evidence within 48 hours.
  3. Admin reviews evidence and renders a decision within 24 hours (typically).
  4. Either party may appeal the decision within 72 hours of notification.
  5. Senior admin reviews the appeal and issues a final decision within 48 hours.

By using the Platform, you agree that Micati's dispute resolution decisions are final and binding, and you waive your right to pursue legal action for disputes arising solely from Platform trades.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Micati, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. This includes, but is not limited to, loss of profits, loss of data, loss of business, or financial loss.

Micati's total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by you to Micati in the twelve (12) months preceding the event giving rise to the claim.

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. Micati does not guarantee uninterrupted, error-free, or secure access to the Platform at all times.

8. Termination

Micati reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

  • — Violation of these Terms or any applicable law.
  • — Fraudulent, abusive, or disruptive behavior.
  • — Extended period of inactivity.
  • — Request by law enforcement or regulatory authority.

Upon termination, any pending trades must be resolved before account closure. Any funds held in your account will be returned to you, minus any outstanding fees or disputed amounts, within a reasonable timeframe.

9. Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to the data practices described in the Privacy Policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms that are not resolved through internal dispute resolution shall be subject to the exclusive jurisdiction of the courts of Lagos, Nigeria.
